Welcome to the Aikon Labs web site at www.planetaikon.com ("Site"). The Site is owned and operated by Aikon Labs ("Aikon Labs"), and the materials on the Site are owned by Aikon Labs. The Site may also include materials owned by third parties and posted on the Site by virtue of a license, grant or some other form of agreement between the third party and Aikon Labs.
PLEASE READ THESE TERMS OF USE CAREFULLY. Access to, and use of, this Site are subject to the terms and conditions of this Terms of Use Agreement ("Agreement"), as well as the Privacy Policy, Copyright Notice, and all applicable laws and regulations, including laws and regulations governing copyright and trademark. If you have registered as an Ideator or Contributor (defined below), your use of this Site forms a legally binding contract with Aikon Labs on the terms and conditions in these Terms of Use, the Community enabled Innovation Project Agreement, and any Sponsored Innovation Project Agreement, which are incorporated into this Agreement by reference. If you are a Sponsor Company (defined below), your use of the Site forms a legally binding contract with Aikon Labs based on the terms and conditions in these Terms of Use, the Sponsor Company Agreement and any applicable schedules, which may include Aikon Labs Rules.You are only authorized to access this Site or to use the materials and services contained in the Site (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave this Site immediately.
Aikon Labs reserves the right to modify or amend this Agreement without notice at any time, and such modification will be effective upon posting by Aikon Labs on the Site. You agree to be bound by any changes to this Agreement when you use the Site after any such modification is posted. It is therefore important that you read this page regularly to ensure you are updated as to any changes.
1. The Site. This Site provides a service ("Service(s)") whereby Aikon Labs enables Sponsor Companies (Sponsors), Ideators and Contributors to connect, collaborate and co-create innovative IT products and/or solutions, based on areas of mutual interest.
Sponsors can access Aikon Labs' global network of innovative Ideators and Contributors to assist them in solving problems, developing opportunities, or otherwise enhancing Sponsor Company's business through collaborative co-creation of innovative IT products and/or solutions. Sponsor Companies may post a Sponsored Innovation Project into the Site's database, which means an opportunity, problem or other issue to be addressed by one or more Ideators and/or Contributors in the areas of innovation in products, services, business models, frameworks, marketing, processes, supply chain issues, or organizational issues.
Ideators and Contributors may also team to pursue a project of common interest and enter into a Community enabled Innovation Project to co-create innovative products and/or solutions, for mutual benefit and gains including innovation in products, services, business models, frameworks, marketing, processes, supply chain issues, or organizational issues.
By using this Site, you acknowledge that Aikon Labs does not control in any manner the nature, quality, legality or timing of Challenges. You agree that Aikon Labs is a neutral forum for Sponsored as well as Community enabled Innovation Project Proposals. You agree that your continued access to and use of the Site constitutes valid consideration received under these Terms of Use and any new versions thereof.
2. Eligibility. The Site is not available for use by minors (those under 18 years of age, or otherwise under applicable law), or individuals or organizations who cannot form legally binding contracts under applicable law. If you do not qualify, please do not use the Site. If you reside in a country that is prohibited by law, regulation, treaty or administrative act from entering into trade relations with India and the country's citizens, you may not use this Site. Failure to abide by the terms and conditions of this Agreement, or any applicable Innovator Agreement, Challenge-Specific Agreement, or any other rules or agreements governing this Site and the Service, may result in Aikon Labs refusing your registration, or deactivating your registration.
3. Registration. You may cancel your registration at any time by contacting support@planetaikon.com. As part of the registration process, you will be asked to select a password and a login name. You agree that your registration information at all times correctly represents your professional affiliation, experience, qualifications and ability to transact business. You may not use a login name of another Ideator, Contributor or Sponsor as the case maybe. You may not disclose or share your password to any third parties or use your password for any unauthorized purposes. You agree to notify Aikon Labs at support@planetaikon.com of any unauthorized use of your account or breach of security, including loss, theft, or unauthorized disclosure of your password or login information. Remember, you are responsible for maintaining the confidentiality of your password(s).
4. Others' Information. Aikon Labs does not guarantee the accuracy of the Site or ownership of any information posted and/or available on the site. While Aikon Labs believes such information to be posted in good faith, Aikon Labs does not control the information provided by others that is made available through the Site. Other user's information may be inaccurate. If you have a dispute with another user of the Site or the Services, you hereby release Aikon Labs from all claims of any kind arising out of such dispute, notwithstanding any statutory rights you may have in your jurisdiction of residence regarding enforceability of said waiver.
5. Your Information. You may have the opportunity to communicate with other users. Any information you provide to Aikon Labs or other users during your registration or use of the Services, in any public message area, through any mail feature, or otherwise generated out of your use of the Services, is subject to the following:
a. Your Content. You are solely responsible for the content of your information, postings, or Proposals. Aikon Labs acts merely as a conduit for the distribution and/or publication of that information. Aikon Labs reserves the right to take any action with respect to such information that it deems necessary or appropriate in its sole discretion if Aikon Labs believes such information is inappropriate for the Site or the Services, may create liability for Aikon Labs, or may cause Aikon Labs to lose (in whole or in part) the services of its Internet service provider, advertisers, or other suppliers. You agree that your information will be accurate and will not, to the best of your knowledge: (a) infringe any third party's copyright, trademark, patent or other proprietary rights or rights of publicity or privacy, (b) violate any law (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising), or (c) be libelous, unlawfully threatening, or unlawfully harassing. You may be asked to make legally binding warranties and representations to Aikon Labs and the Sponsor Company in relation to a Proposed that you submit.
b. Your Conduct.
You represent, warrant and agree that no materials of any kind submitted through your account or otherwise posted, transmitted, or shared by you on or through the Service will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary rights; or contain libelous, defamatory or otherwise unlawful material.
In addition, you agree not to use the Service or the Site to:
harvest or collect email addresses or other contact information of other users from the Service or the Site by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;
use the Service or the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site;
use automated scripts to collect information from or otherwise interact with the Service or the Site;
upload, post, transmit, share, store or otherwise make available any content that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;
upload, post, transmit, share, store or otherwise make available any videos other than those of a personal nature that: (i) are of you or your friends, (ii) are taken by you or your friends, or (iii) are original art or animation created by you or your friends;
register for more than one User account, register for a User account on behalf of an individual other than yourself, or register for a User account on behalf of any group or entity;
impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;
upload, post, transmit, share or otherwise make available any unsolicited or unauthorized advertising, solicitations, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;
upload, post, transmit, share, store or otherwise make publicly available on the Site any private information of any third party, including, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;
solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes;
upload, post, transmit, share or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
intimidate or harass another;
upload, post, transmit, share, store or otherwise make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;
use or attempt to use another's account, service or system without authorization from the Company, or create a false identity on the Service or the Site.
upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of Company, is objectionable or which restricts or inhibits any other person from using or enjoying the Site, or which may expose Company or its users to any harm or liability of any type.
c. Privacy. Aikon Labs will only use your information in accordance with its Privacy Policy as posted on the Site.
6. Ownership and Limited License. Aikon Labs shall retain all ownership in the Site and all content generated by it that is displayed on the Site. Aikon Labs grants you a nonexclusive, revocable right to use the Site provided that you do not (i) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, (ii) modify or attempt to modify the Site in any manner or form except that you have the right to modify your self-generated content on the Site. You agree that Aikon Labs shall not be liable to you for any modification or discontinuance of the Site and Aikon Labs may discontinue the Site and the Service without any notice to you. All proprietary information, material etc. brought to the website(PlanetAikon), by any member of PlanetAikon, shall remain the excusive property of such member. Planetaikon shall at no time claim any right over such material/s, provided such member has not under his/her free will, published such material in the public domain and the same has become public knowledge.
7. Compliance with Rules. You agree not to use any device, software or routine to interfere with the proper working of the Site or which is intended to damage, interfere with, surreptitiously intercept or expropriate any system, data or personal information. You agree not to take any action (including without limitation, spamming) that imposes an unreasonable load on our infrastructure. You agree not to take any actions which may undermine the integrity of our system or the Services, such as: using the Site in violation of local, state, national or international law; uploading of files or content that contain material that violates the intellectual property rights of any third party. You are solely responsible for compliance with all applicable laws and regulations regarding your use of the Services and the transfer of the technologies or information with which you are involved, including without limitation, import/export requirements, and Aikon Labs expressly disclaims any liability or responsibility thereto.
8. No Warranties. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES AND THE SITE ARE PROVIDED "AS IS". AIKON LABS MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING NO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, RESPECTING THE SERVICES AND/OR THE SITE.
9. Limitation of Liability and Disclaimer. Aikon Labs has no control over, and is not responsible for the acts or omissions of Sponsor Companies, or the quality or legality of the Proposals sought thereby. Aikon Labs does not warrant or guarantee the accuracy or completeness of any Innovation Brief, nor endorse any Sponsor Company. AIKON LABS SHALL NOT BE LIABLE TO YOU FOR ANY DAMAGES, CLAIMS, EXPENSES OR OTHER COSTS (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES) YOU SUFFER OR INCUR AS A RESULT OF THIRD PARTY CLAIMS RELATING TO YOUR USE OF THE SERVICES. UNDER NO CIRCUMSTANCES WILL AIKON LABS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES. You agree that you will be responsible for, and at Aikon Labs' request defend Aikon Labs from, third party claims arising out of information you provide to Aikon Labs for publication or any breach by you of this Agreement. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Service must be filed within one (1) year after such claim or cause of action accrues, or be forever barred.
10. Other Contracts, Confidentiality, and Indemnification. You agree that you will not disclose to Aikon Labs or its affiliates, or to any Sponsor Company, any information which you are under an existing contractual or other legal obligation to maintain in confidence or otherwise do not have the right to sell or license. Should your access to the Services or your participation in an Innovation Challenge be found to breach legal obligations you may have with other third parties, you agree to defend, indemnify and hold harmless Aikon Labs and Sponsor Company, its and their respective officers, directors, employees, agents, licensors, and suppliers, from and against all claims, actions or demands, liabilities, and settlements, including, without limitation, reasonable legal and accounting fees, arising in connection with such unauthorized and prohibited disclosure.
11. Third-Party Web Site Links. The Site may contain links to Web sites operated by parties other than Aikon Labs. Such links are provided for reference only and Aikon Labs does not control such Web sites and is not responsible for their contents. Aikon Labs's inclusion of links to such Web sites does not imply any endorsement of the material on such Web sites or any association with their operators.
12. No Third Party Reliance. You agree that you will not present to third parties any content or material in a manner that could be construed as conveying sponsorship, endorsement, option, or representation or warranty of Aikon Labs. This agreement shall have no third party beneficiaries, other than certain Sponsor Companies and in accordance with the terms of the applicable Sponsored Innovation Project Agreement.
13. Miscellaneous. This Agreement shall be interpreted in accordance with the laws of India, as applicable, excluding any rules governing choice of laws. Any legal proceeding arising out of this Agreement will occur in Pune, India. This Agreement will be binding on and will insure to the benefit of the legal representatives, successors and assigns of the parties hereto. Nothing in this Agreement shall be construed to establish a joint venture, agency, employment, or other business relationship between you and the Aikon Labs. The failure of the Aikon Labs or a Sponsor Company to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. This Agreement (and the policies referenced herein and incorporated by reference) constitutes the entire agreement between Aikon Labs and you with respect to the subject matter hereof, and you have not relied upon any promises or representations by Aikon Labs with respect to the subject matter except as set forth herein. You shall not assign this Agreement or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law. The governing language of these Terms of Use, each Challenge-Specific Agreement, and the Privacy Policy is English. Any translation appearing on this Website into any other language is solely for the convenience of the user.
